These Terms and Conditions govern the access to and use of the website www.epse.ee (hereinafter the “Website”), which is operated by European Power Solutions Estonia OÜ, a private limited company incorporated under the laws of the Republic of Estonia under registration code 12895367, with its registered office at Viru väljak 2, Kesklinna linnaosa, Tallinn, Harju maakond, 10111, Estonia, e-mail info@epse.ee, telephone +372 6307700 (hereinafter “EPSE”, “we”, “us” or “our”). By accessing or using the Website you agree to be bound by these Terms and Conditions in their entirety. If you do not agree with any part of these Terms and Conditions, you must not access or use the Website.
The Website is intended to provide general information about EPSE and its activities as a business-to-business trading company specialising in the supply of industrial electrical equipment. The Website is addressed exclusively to professional users, business operators, industrial buyers, contractors and infrastructure-related companies. It is not directed at consumers within the meaning of § 1 of the Estonian Tarbijakaitseseadus (Consumer Protection Act) or Article 2(1) of Directive 2011/83/EU. Any natural person accessing the Website does so on the basis that they are acting in the course of a trade, business or profession, and confirms this by continuing to use the Website. No part of the Website is intended to constitute, and nothing on the Website shall be construed as, an offer to enter into a contract, a public offer, a binding price quotation, a tender, a recommendation, an investment advice or any other legally binding commitment by EPSE.

You may view, download for caching purposes only, and print pages from the Website for your own internal business use, subject to the restrictions set out below. When using the Website you undertake to do so only for lawful purposes and in a manner that does not infringe the rights of EPSE or any third party, does not restrict or inhibit the use and enjoyment of the Website by any other user, and complies with all applicable laws and regulations. EPSE shall not be liable for any failure to perform, or delay in performance of, any obligation under these Terms and Conditions caused by events outside its reasonable control, including but not limited to acts of God, fire, flood, earthquake or other natural disaster, war, armed conflict, hostilities, civil unrest, acts of terrorism, sabotage, epidemic or pandemic, government action, embargo, sanctions, export or import restrictions, failure of public or private telecommunications networks, failure of internet service providers, cyberattacks, interruption of electricity supply, strikes or labour disputes.
EPSE may modify or update these Terms and Conditions at any time by publishing the revised version on the Website. The revised version takes effect from the date indicated at the end of the document, and continued use of the Website after that date constitutes acceptance of the revised Terms and Conditions. It is your responsibility to review these Terms and Conditions periodically to remain informed of any changes. No failure or delay by EPSE in exercising any right or remedy under these Terms and Conditions shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise of that or any other right or remedy. You may not assign, transfer or otherwise dispose of your rights or obligations under these Terms and Conditions without the prior written consent of EPSE.
These Terms and Conditions, and any dispute or claim (whether contractual or non-contractual) arising out of or in connection with them or their subject matter or formation, including the use of the Website, shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict-of-laws rules. The parties irrevocably submit to the exclusive jurisdiction of the courts of the Republic of Estonia, with Harju Maakohus (Harju County Court) being the court of first instance, for the resolution of any such dispute or claim, save where mandatory provisions of law require otherwise.
